Google completes historic $32 billion acquisition of Wiz

The transaction significantly strengthens Google Cloud's competitive position against rivals Amazon Web Services (AWS) and Microsoft Azure.

Google completed its $32 billion acquisition of cybersecurity firm Wiz, marking the largest acquisition in the company’s history and the biggest-ever purchase of a venture-backed startup.

The deal represents a watershed moment for the technology sector, demonstrating sustained appetite for major M&A activity despite regulatory scrutiny and offering a significant liquidity event for venture capital investors. The acquisition also positions Google to strengthen its cloud security offerings amid intensifying competition with Amazon Web Services and Microsoft Azure.

Shardul Shah, partner at Index Ventures and Wiz’s largest shareholder, said the company sat at the convergence of three major market forces. “Wiz is at the center of three tailwinds: AI, cloud, and security spend,” Shah stated on TechCrunch’s Equity podcast. He added that “every single workload needs to be secured” in the current AI era.

Shah has maintained a close relationship with Wiz’s founding team for over a decade, having previously invested in their earlier venture, Adallom. He joined Wiz’s board at the seed round after co-founder Assaf Rappaport called him on his birthday to announce the new company.

The investor highlighted the leadership dynamics that drove Wiz’s rapid growth. Shah described Rappaport as possessing “great intuition about people and markets,” co-founder Ami Luttwak as someone who “lives in the future,” and Roy Reznik as “an execution machine.” This combination enabled Wiz to “take on an existing category with unrivaled speed,” according to Shah.

Wiz had previously walked away from an earlier acquisition approach by Google. Shah said he viewed that decision as consistent with his investment philosophy of trusting founder judgment rather than focusing on external validation. “When founders choose and make decisions, you trust the inputs, like how they make decisions,” he explained.

Wiz focuses on securing cloud infrastructure and production code, serving customers Shah described as members of “the zero critical club” who prioritize security vulnerabilities based on contextual risk. The acquisition will allow Wiz to leverage Google’s infrastructure and AI talent while maintaining its existing leadership culture, Shah noted.

Shah predicted the deal would have broader implications for the entrepreneurial ecosystem. “There’s a new imagination for what can be possible for entrepreneurs across the globe,” he said. He added that the transaction would change “so many people’s lives” while inspiring the “talent, the skills, and the aspirations” of future founders.

Google’s cloud security strategy has faced increasing pressure as enterprises accelerate digital transformation and confront sophisticated cyber threats, including those targeting communication platforms like Signal and WhatsApp that have drawn warnings from intelligence agencies.
