Vimeo, the video platform provider, has announced its impending acquisition by Bending Spoons, a prominent European mobile app developer. The all-cash transaction is valued at approximately $1.38 billion and was revealed Wednesday in a formal statement.
The acquisition remains subject to customary closing conditions and regulatory approvals before it can be finalized. The deal is currently projected to close in the fourth quarter of 2025. Following the completion of the acquisition, Vimeo will be delisted from relevant exchanges, marking the end of its tenure as a publicly traded entity.
Reports indicate Bending Spoons’ interest in acquiring Vimeo stretches back to March 2024, underscoring a sustained pursuit of the video platform. The formal announcement confirms the culmination of these preliminary discussions into a definitive agreement.
Luca Ferrari, CEO and co-founder of Bending Spoons, conveyed the company’s long-term vision for Vimeo. “At Bending Spoons, we acquire companies with the expectation of owning and operating them indefinitely, and we look forward to realizing Vimeo’s full potential as we reach new heights together,” Ferrari stated in a press release.
Ferrari further elaborated on Bending Spoons’ strategic intentions for Vimeo following the acquisition. “In particular, after closing, we’re determined to make ambitious investments in the US and other priority markets, and all key areas of the business, spanning both the creator and enterprise offerings,” he said. He added, “We’ll focus on achieving even more stellar levels of performance and reliability, bringing advanced features to more customers, and continuing to release powerful and responsible AI‑enabled features.” This statement suggests a commitment to enhancing Vimeo’s existing functionalities and integrating advanced technologies.
Historically, Bending Spoons has implemented significant operational changes following acquisitions, including workforce reductions and feature curtailments. The acquisition of Evernote in 2022 resulted in layoffs affecting the majority of U.S. and Chile-based staff, with operations subsequently consolidated in Europe during 2023. Subsequently, the Linux and older legacy versions of Evernote were discontinued, and in 2024, substantial limitations were imposed on the app’s free tier. In July 2024, Bending Spoons acquired WeTransfer, subsequently reducing its workforce by 75% within weeks. Following this restructuring, WeTransfer limited free users to a maximum of 10 transfers per month.
Vimeo, established in 2004, was initially a subsidiary of IAC (InterActiveCorp). In 2021, Vimeo was spun off to become an independent, publicly traded company. However, since its separation from IAC, Vimeo’s market value has decreased by approximately 90%. This decline in market capitalization reportedly prompted Vimeo’s leadership to evaluate strategic alternatives, according to Bloomberg.
Philip Moyer, CEO of Vimeo, addressed the acquisition in the press release, stating that Bending Spoons is dedicated to expanding Vimeo’s product offerings across all segments, including Self‑Serve, OTT/Vimeo Streaming, and Vimeo Enterprise. He emphasized the potential benefits of the partnership, stating,
